TERMS & CONDITIONS

General Terms and Conditions (GTC)
The following general terms and conditions apply to all contracts between the client and TERC KLG as the contractor. These terms combine TERC KLG’s draft with relevant points from the graphic design GTC.

1. Scope of Application

These GTC apply to all orders placed with TERC KLG. They also apply to future contracts without requiring a renewed notice. Deviating conditions of the client will only apply if TERC KLG explicitly agrees in writing.

2. Copyright and Usage Rights

The designs created by TERC KLG may not be altered in original or reproduction without explicit consent. Any imitation, in whole or in part, is prohibited. TERC KLG grants the client the necessary usage rights for the agreed purpose. These rights are transferred only after full payment of the fee. TERC KLG reserves the right to use the works for self-promotion.

3. Compensation

The compensation for services provided by TERC KLG is stipulated in the contract. Should TERC KLG determine that the efforts exceed the planned time, the client will be informed, and further steps will be jointly decided.

4. Project Management

• TERC KLG organizes each project independently and assigns qualified employees. External specialists may be brought in as needed.

• At the beginning of the project, TERC KLG will create a plan, which will be coordinated with the client.

• The client will appoint a project manager who will serve as the main point of contact and ensure the timely provision of necessary information and decisions.

• Quality assurance measures will be carried out by TERC KLG according to the company’s quality standards.

• Acceptance of the services provided by TERC KLG will be confirmed in writing by the client.

5. Client's Obligations

The client agrees to support TERC KLG's work. This includes:

• Providing relevant documents and information,

• Appointing a knowledgeable point of contact,

• Providing suitable workspaces and materials if the work is carried out on-site.

6. Third-Party Services

TERC KLG is entitled to order necessary third-party services in the name of the client. The client must authorize TERC KLG with a power of attorney and is liable for all obligations arising from such contracts.

7. Ownership and Return Obligation

Only usage rights are granted to the created designs, not ownership rights. Originals must be returned to TERC KLG in good condition.

8. Data Delivery

TERC KLG is not obliged to provide data carriers or files unless required for the use of the granted rights. The provision of such data must be agreed upon separately and will incur additional costs.

9. Liability and Warranty

TERC KLG is only liable for damages caused by intentional or gross negligence. The client is responsible for any defects that appear in the provided data or designs after acceptance.

10. Final Provisions

Changes and amendments to these GTC must be made in writing. Should any provision of these GTC be invalid, the validity of the remaining provisions shall not be affected.

Swiss law applies. Jurisdiction is determined by the applicable statutory provisions.
